TERMS AND CONDITIONS

1. DEFINITIONS

Affiliate - A person aged 18 or over, or entity, who applies to participate in the Affiliate Program.
Affiliate Agreement - means all the terms, conditions, rules, and guidelines set by the Company for its products, brands, and websites.
Affiliate Site - The website, social media accounts, or any traffic source operated by the Affiliate.
Commission - The amount payable to the Affiliate based on referred players’ activity as defined under Section 5.
Referred Player - A new customer who registers on Sokabet via the Affiliate’s tracking link and meets qualifying criteria.
Tracking Link - The unique URL provided to the Affiliate to track traffic and player activity.
Net Gaming Revenue (NGR) - Gross revenue generated by Referred Players minus bonuses, chargebacks, and applicable taxes.

2. ENROLMENT & APPROVAL

2.1. To join the Programme, you must complete the online application and accept these terms.
2.2. Sokabet reserves the right to accept or reject any application at its sole discretion.
2.3. You must be 18+ years old and legally permitted to promote gambling in your jurisdiction.

3. AFFILIATE OBLIGATIONS

3.1. Compliance: You must comply with all applicable laws, advertising standards, and any Sokabet marketing guidelines.
3.2. Prohibited Channels: You may not engage in unauthorised paid search, SMS spam, incentivised traffic, or promote via channels deemed unethical.
3.3. Brand Usage: You are granted a non-exclusive, non-transferable license to use approved Sokabet brand assets for the purpose of promoting the brand only.
3.4. Membership: Joining the Affiliate Program requires accepting these terms by ticking the box in the application, which forms an integral part of the Affiliate Agreement.
3.5. Responsible Marketing: Marketing must not target underage or vulnerable individuals, or present gambling as a solution to financial issues.
3.6. Jurisdiction Restrictions: You must not operate in territories where gambling is illegal and must ensure all activities occur within legal jurisdictions.

4. SOKABET OBLIGATIONS

4.1. Sokabet shall provide you with:

• Tracking links and creative materials

• Access to reporting via the affiliate portal

• Monthly statements and prompt payment of commissions

4.2. Sokabet reserves the right to modify the programme, suspend accounts, or terminate the relationship if terms are breached.

5. COMMISSION STRUCTURE

5.1. Affiliates may be remunerated under a Revenue Share, Cost-Per-Acquisition (CPA), or Hybrid deal structure, as agreed in writing between the parties.
5.2. The applicable commercial model, together with any corresponding conditions, qualification criteria, and payment terms, shall be set out in the relevant written agreement or otherwise confirmed in writing by Sokabet.
5.3. Under a CPA model, commission shall only be payable for Referred Players who meet the qualification requirements established by Sokabet, including but not limited to minimum deposit thresholds, account verification, and minimum activity levels.
5.4. Under a Revenue Share or Hybrid model, commission shall be calculated in accordance with the agreed methodology and shall apply only to valid, qualifying player activity.
5.5. Unless expressly agreed in writing, no lifetime commission entitlement shall apply.
5.6. No commission shall be payable in respect of self-referred accounts, duplicate accounts, fraudulent activity, bot-generated traffic, automated registrations, bonus abuse, promotion abuse, arbitrage play, or any other non-genuine player behavior.
5.7. Sokabet reserves the right to withhold, suspend, cancel, or adjust commission where it identifies suspected fraud, bonus abuse, bot activity, low-quality traffic, unapproved incentivized traffic, or any activity intended to artificially inflate affiliate earnings.
5.8. Sokabet may, acting reasonably and in good faith, determine whether any traffic, account, or player activity is fraudulent, abusive, non-genuine, or otherwise in breach of this Agreement.

6. PAYMENTS

6.1. Commissions shall be calculated on a monthly basis and paid in accordance with the applicable insertion order, commercial agreement, or other written arrangement agreed between Sokabet and the Affiliate.
6.2. The payment method, currency, payment schedule, and any applicable minimum payment threshold shall be determined in the relevant insertion order or otherwise agreed in writing between the parties.

6.3. Sokabet reserves the right to withhold, offset, or deduct from future payments any overpayments, chargebacks, refunds, reconciliations, or other amounts reasonably determined to be due by the Affiliate.
6.4. The treatment of any negative balance, including whether such balance shall be carried forward to subsequent payment periods (negative carryover), shall be governed by the applicable insertion order or other written agreement between the parties.
6.5. Sokabet may withhold or delay payment where reasonably necessary to investigate suspected fraud, bonus abuse, bot traffic, invalid activity, or any breach of this Agreement.

7. FRAUD & MISCONDUCT

7.1. Sokabet retains the right to withhold payments and close accounts involved in:

• Fraudulent player activity

• Misleading marketing

• Brand impersonation

• Breach of applicable gaming laws

7.2. Traffic quality is routinely monitored. Affiliates may be reclassified or removed if deemed non-compliant.

8. INTELLECTUAL PROPERTY

All intellectual property, including trademarks and creative materials, remains the property of Sokabet. Affiliates may not alter, misrepresent, or misuse any such materials.

9. CONFIDENTIALITY

All information shared, including performance data, commission rates, or internal strategy, must be treated as confidential and not disclosed to third parties without written consent.

10. TERM & TERMINATION

10.1. This Agreement will remain in force until terminated by either party with 7 days’ written notice.
10.2. Immediate termination may occur in cases of breach, fraud, or reputational harm to Sokabet.
10.3. Upon termination:

• All promotional activity must cease

• Final commission will be paid subject to review

• The affiliate tracking link will be deactivated

11. LIMITATION OF LIABILITY

Sokabet shall not be liable for indirect, incidental, or consequential damages. Our liability under this Agreement shall not exceed the total commissions paid to the Affiliate over the prior 3 months.

12. GOVERNING LAW

This Agreement is governed by the laws of Tanzania. Any disputes shall be subject to the jurisdiction of the courts in Dar es Salaam.

13. AMENDMENTS

Sokabet reserves the right to modify these terms at any time. Affiliates will be notified of changes via email or via the Affiliate Portal. Continued participation constitutes acceptance of the new terms.
